You are correct on the no US theater release (at least as of now).
As far as the "reason why" part of your question, you may be (and probably are) correct but, to my knowledge, there has never been an official reason announced as to why it's not being shown in theaters in the US.

Like from the BBFC, Havana Moon got in Germany the FSK-Label '0' on 10-Aug-2016: [www.spio-fsk.de] .
Looks like the Video consists of the main part 'Havanna Moon' (running time 110:05) plus the 5 Bonus tracks: Tumbling Dice, All Down The Line, Before They Make Me Run,
Miss You, Start Me Up.

The running time in Cinema is stated with 120 mins - looks like they show only the main part (110 mins) plus the Cinema-Bonus, a RS-Interview.

Hmmm... The fact that Sunshine Daydream was about to be released on DVD/Blu ray didn't stop the Grateful Dead from a one-night screening of it at theatres around the USA. They might have thought "Why let the glory of the naked sunburned post-humping dude standing over Jerry's shoulder be restricted?" No word yet on whether Havana Moon features any naked sunburned post-humping dudes standing over Keef's shoulder.
