Official Rules

NO PURCHASE REQUIRED TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. 50 U.S. (AND D.C.) ONLY. VOID WHERE PROHIBITED.

1. Eligibility: Ameriquest Presents The Rolling Stones On Stage Tour Sweepstakes (the "Promotion") is open only to legal residents of the fifty (50) United States (and the District of Columbia) who are twenty-one (21) years old and older at the time of entry. Void where prohibited. Employees of Ameriquest Mortgage Company, ePrize, LLC, and their respective related companies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. Promotion is subject to all applicable federal, state, local laws and regulations. Odds of winning are described in detail in paragraph 8 below. The Promotion consists of an Instant Win game (the "Instant Win Game"), and a Grand Prize Drawing (the "Grand Prize Drawing").

2. Sponsor: Ameriquest Mortgage Company, 1100 Town & Country Road, Suite 400, Orange, California 92868-4642. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.

3. Agreement to Official Rules: By participating in the Promotion, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Promotion.

4. Timing: The Promotion will begin July 12, 2005 at 12:00 a.m. Eastern Time ("ET"), through 11:59 p.m. ET, December 12, 2005 (the "Promotion Period"). Administrator's computer is the official time keeping device for this Promotion. For purposes of this Promotion, a "month" begins at 12:00 a.m. ET on the 12th day of each calendar month during the Promotion Period and ends at 11:59 p.m. ET on the 11th day of the following calendar month, except the last month which ends at 11:59 p.m. ET on December 12, 2005 (each a "Monthly Entry Period").

5. How to Enter the Promotion: During the Promotion Period, go to [www.Ameriquest.com] or www.ameriquest.com and follow the directions for entry. Fill out the registration form completely and submit the form. Once you submit the form, you will automatically receive one (1) entry into the Grand Prize Drawing and advance to the Instant Win Game Page. It is recommended that you install Macromedia Flash on your computer (if you do not already have it) when prompted. Installation is free. Follow the on-screen instructions to play the game. Your performance in the game will have no impact on whether you win or lose. After the game experience, click the "See If You've Won" button. If you do not have Macromedia Flash, simply click the "Click Here" link as indicated. The Instant Win Game results will be instantly displayed. Entrants will be notified immediately by email if they are potential winners of the Instant Win Game and will be provided directions for validation. All potential winners are subject to verification before any prize will be awarded. Administrator is responsible for the functionality of the Instant Win Game. There are five (5) Grand Prize Drawings, one (1) for each month during the Promotion Period. In order to be included in a particular monthly drawing, entries must be received during the applicable Monthly Entry Period. Non-winning entries for each monthly drawing will be entered into subsequent monthly drawings. Limit: One (1) Instant Win Game play/Grand Prize Drawing entry per person per email address per day. Any attempt by any participant to obtain more than the stated number of plays by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's plays and that participant may be disqualified. All entries must be received during the Promotion Period. Use of any automated system to submit entries is prohibited and will result in disqualification. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

6. ALL POTENTIAL WINNING PLAYS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING PLAY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

7. Grand Prize Drawing/Instant Win Game: All selected winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Grand Prize Drawing: Administrator, whose decisions as to the administration and operation of the Grand Prize Drawing and the selection of the potential winner are final, will randomly select the potential Grand Prize Drawing winners from among all eligible entries received for the first monthly drawing on or about August 18, 2005; the second monthly drawing on or about September 19, 2005; the third monthly drawing on or about October 18, 2005; the fourth monthly drawing on or about November 18, 2005; and the fifth monthly drawing on or about December 13, 2005. Instant Win Game: Administrator is an independent judging organization whose decisions as to the administration and operation of the Instant Win Game and the selection of potential Instant Win Game winners are final and binding. Entrant's inquiry about, or purchase of Sponsor's products or services shall not increase entrant's chance of winning. Six Hundred (600) random, computer-generated winning times, one (1) for each of the Instant Win Game prizes listed in paragraph 8 below will be created during the Promotion Period; twenty (20) random computer generated winning times per month for the First Prize, one hundred (100) random computer generated winning times per month for the Second Prize. If you are the first player to play the Instant Win Game at or after any one (1) of the randomly generated times you will be a potential instant winner. For All Potential Winners: Except where prohibited, potential Grand Prize winners must sign and return within five (5) days of being notified, an affidavit of eligibility and liability/publicity release in order to claim his/her prize. If a Grand Prize winner cannot be contacted within five (5) days, or an Instant Win Game First Prize winner cannot be contacted within ten (10) days after the first attempt to contact him/her or if he/she fails to sign and return the affidavit of eligibility, or liability/publicity release within the required time period (if applicable), he/she will be disqualified and an alternate entrant will be selected in his/her place in a random drawing from among all eligible entries received. For the Grand Prize and Instant Win Game First Prize, only three (3) alternate drawings will be held after which the prizes will remain unawarded. All remaining unclaimed Instant Win Game prizes will not be awarded. Instant Win Game prizes will be sent by mail or email 8-10 weeks from verification of win.

8. Prizes:

a. Grand Prize Drawing: FIVE (5) GRAND PRIZES (one (1) Grand Prize per each monthly drawing): Winner's choice of either $6,000 cash or a trip for two (2) to see the Rolling Stones concert. Trip consists of roundtrip coach-class airfare for two (2) from a major airport near winner's home (determined by Sponsor in its sole discretion) to the city of or near the location of the concert; four (4) days and three (3) nights accommodations at a hotel determined by Sponsor in its sole discretion (single room, double occupancy per room); ground transportation to and from the airport and concert; and two (2) front row tickets to the Rolling Stones concert; a meet and greet with the Rolling Stones band; a signed and framed Peter Max Rolling Stones poster; and access to the Ameriquest Hospitality Suite during the concert. ARV: $6,000. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner and travel companion must be able to commence travel on January 18, 2006 and complete travel on January 21, 2006 or prize will be forfeited. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, additional ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Odds of winning the Grand Prize depend on the number of eligible entries received.

b. Instant Win Game Prizes: ONE HUNDRED (100) FIRST PRIZES: Autographed Peter Max Rolling Stones poster and Rolling Stones/Ameriquest t-shirt; size and color of t-shirt determined in Sponsor's sole discretion. Poster is unframed. ARV: $375. FIVE HUNDRED (500) SECOND PRIZES: Rolling Stones CD of their latest album. ARV: $15. Odds of winning an Instant Win Game prize are based on the number of eligible Instant Win Game plays during the Promotion Period, divided by the number of Instant Win prizes.

Trip prizes: Trips are subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor's airline carrier of choice as detailed in the passenger ticket contract. Unless child of winner, travel companions must be 21 years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winners. Travel companions must execute liability/publicity releases prior to issuance of travel documents. Winners and travel companions are responsible for passports or any other required travel documentation. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner's proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsors' sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor not responsible if Rolling Stones concert and/or if the meet and greet with the Rolling Stones is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion.

For all prizes: Winners are solely responsible for all federal, state, and local taxes and other fees associated with prize receipt and use. No other substitution, assignment or transfer of prizes permitted, except by Sponsor, who reserves the right to substitute a prize with another prize of greater or equal value. Entrants can only win one of each Instant Win Game prize one time. All entrants are eligible for the Grand Prize. The total ARV of all prizes: $75,000.

9. Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's use of winner's name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes in any media, without further payment or consideration.

10. General Conditions: Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person or entity to deliberately damage any web site or undermine the legitimate operation of the Promotion is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and costs (including without limitation attorneys' fees) and any other appropriate remedies from any such person or entity to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. Release: By entering this Promotion, entrant agrees to release and hold harmless, Sponsor, ePrize, LLC, and each of their related companies, each of their respective officers, directors, members, employees, and agents, ("Released Parties") from and against any claim or cause of action arising out of participation or attempt to participate in the Promotion or receipt or use of any prize.

12. Limitations of Liability: Released Parties are not responsible for and entrants release and hold the Released Parties harmless for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which injury or damage may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion. No more than the stated number of prizes will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

13. Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than those concerning the administration of the Promotion or the determination of winners, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
